1. Who we are and agreement to these terms
These Terms & Conditions ("Terms") govern your use of www.synthiscad.com and www.synthis3d.com (the "Sites") and every service, product, quote and order provided by Synthis CAD LLC, a West Virginia limited liability company doing business as SYNTHIS CAD and SYNTHIS 3D ("Synthis," "we," "us"). Our address is 15 Radiant Dr, Martinsburg, WV 25404-0220.
How these Terms become binding. Every Synthis quote is issued subject to these Terms and states that it is. A binding contract on these Terms is formed when the Customer does any of the following:
- pays a deposit or any amount against a Synthis quote or invoice, online or otherwise;
- issues a purchase order (PO) that refers to a Synthis quote or requests Synthis services;
- places a purchase in the online shop or books a paid appointment; or
- for a specific project, signs a separate written agreement with Synthis. No signature is needed to accept a quote.
The accepted quote, together with these Terms and any document they reference, is the "Order." Starting work, accepting parts or files, or delivering services does not mean Synthis has agreed to any different terms.
Purchase orders. A Customer PO is accepted only for its description of the work, quantity, price and delivery details, as they appear in the Synthis quote. Any other terms printed on or attached to a PO, or in the Customer's own standard terms, are rejected and do not apply, even if Synthis signs or acknowledges the PO, unless a Synthis officer agrees to them in a signed writing that names the specific terms. If a PO conflicts with the Synthis quote, the quote controls.
Order of priority. If documents conflict, this order applies: (1) a separate written agreement signed by both parties, such as a design services agreement or NDA; (2) the accepted Synthis quote; (3) these Terms. Use of the Sites alone is governed by Section 13.
Whoever accepts a quote or issues a PO for a company confirms they have authority to bind it.
How these Terms are identified. Every Synthis quote, order confirmation and invoice identifies these Terms by title, version and effective date, and they are available at synthiscad.com/terms and synthis3d.com/terms before the Customer accepts. Paying, issuing a PO or checking the acceptance box confirms the Customer has received, read and accepts this version.
Order confirmation. Every Order is subject to Synthis's written confirmation, by email or through the Synthis customer portal. Synthis may decline an Order within [3] business days of receiving payment or a PO, for example for work it would refuse under Section 5, and will then refund anything paid. If the Customer does not object in writing to Synthis's confirmation within [3] business days of receiving it, the confirmation is accepted as written.
2. Services covered
These Terms apply to all services sold under either brand, including:
- SYNTHIS CAD: parametric 3D CAD design and drafting, scan-to-CAD modeling, manufacturing drawings, design-for-manufacturing (DFM) review, product development packages, and design and manufacturing consultations.
- SYNTHIS 3D: 3D scanning, scan-to-CAD modeling, prototype printing, production printing, material selection and production planning.
The scope, deliverables, file formats, quantities, materials and schedule for each project are set in its quote or Order. Work not listed there is outside scope and billed separately once you approve it.
Not engineering services. Synthis CAD LLC is not a licensed professional engineering firm. Its services are CAD design, drafting, 3D scanning, scan-to-CAD modeling and printing, and do not include engineering that requires a professional engineer's license or seal. The Customer is responsible for having a qualified, licensed engineer review any part, design or Deliverable used where life, health, safety or property is at stake. Manufacturing that Synthis arranges through third-party manufacturing partners is production work, not engineering.
Engineering through third parties. If a project requires licensed engineering, Synthis can refer the Customer to independent, licensed professional engineers or engineering firms. Any engineering services are provided under a separate agreement between the Customer and that engineer or firm, which is solely responsible for its work. With the Customer's approval, Synthis may share project files with that engineer or firm and coordinate scheduling. Synthis does not itself offer, perform, supervise or guarantee engineering services, and its fees do not include them.
3. Quotes, orders and payment
- Quotes. Quotes are valid for [30] days and are based on the parts, files and information you provide. If the part or data differs from what was described, or you change the scope, we may re-quote before continuing.
- Online prices. Prices shown in the online shop are starting prices for standard packages. Final pricing depends on part size, complexity, material, quantity and turnaround, and is confirmed in your quote.
- Deposits. Projects over [$500] require a [50]% deposit before work begins. The deposit is applied to the Order. If the Order is cancelled, Synthis keeps the part of the deposit that covers work performed, materials purchased and time reserved, and refunds the rest. Smaller projects and shop packages are paid in full at order.
- Appointment deposits. Some appointments require a deposit, which is shown at booking and paid online. Appointment deposits are non-refundable. A deposit is credited in full toward a product or service purchased from Synthis within 1 month of the appointment. Applicable tax is charged on the final sale. If no purchase is made within that month, the credit ends and any applicable tax on the retained deposit is handled as the law requires.
- Payment terms. Remaining balances are due [before delivery of final files or shipment of parts / within 15 days of invoice]. We may hold deliverables until paid in full.
- Late payment. Overdue balances accrue interest at [1.5]% per month or the highest rate allowed by law, whichever is lower. For any Customer who is an individual, interest will not exceed 8% per year unless the balance is $20,000 or more and owed for a business purpose, or a higher rate is allowed by law. The Customer pays reasonable collection costs where the law allows; no collection costs are charged to consumers except as the law allows.
- Taxes and shipping. Prices exclude sales tax, shipping, duties and expedite fees unless stated otherwise.
- Rush work. Expedited turnaround is available when capacity allows and may carry a surcharge of [25–50]%.
4. Ownership of materials, files and designs
- Customer Materials stay the Customer's. The Customer keeps all rights in the parts, drawings, models, scans and data it supplies ("Customer Materials"). The Customer grants Synthis permission to use them only to perform the project.
- Default: Synthis owns what it creates. All files Synthis CAD LLC creates, including CAD models, drawings, scan data, print files and concepts ("Deliverables"), are owned by Synthis CAD LLC. Synthis keeps that ownership after payment unless the initial written contract between Synthis and the Customer states otherwise. On full payment, the Customer receives a non-exclusive, perpetual licence to use the Deliverables for the intended use stated in the Order.
- Customer Ideas, when stated in the initial contract. If the initial written contract identifies the project as stemming from the Customer's idea ("Customer Idea") and describes it, for example by sketch, written description or reference file, then on receipt of full payment Synthis hereby assigns to the Customer all right, title and interest, including copyright, in the Deliverables developed from that Customer Idea. A Customer Idea may be only a concept, need or rough sketch without a developed form or function. The design work Synthis adds to develop it (geometry, mechanisms, dimensioning, drawings) is included in the assignment. These Deliverables are not "works made for hire"; ownership passes by this written assignment. When a Customer Idea project is paid in full, Synthis will sign and send the Customer a short Confirmation of Assignment identifying the Deliverables transferred.
- Inventions. For a Customer Idea project, any invention Synthis conceives in developing it is also assigned to the Customer on full payment. Synthis will sign reasonable documents needed for the Customer's patent filings, at the Customer's cost, and may be named as an inventor where the law requires.
- Protection of Customer Ideas. Whether or not ownership transfers, Synthis will not use, disclose or develop a Customer's idea or confidential information for anyone else (see Section 10).
- Files included on transfer. When Deliverables are assigned, the Customer receives the agreed export formats (for example STEP, STL, PDF) and the scan data of any part it supplied. Native source files and working files are supplied only if the contract includes them, or for an added fee. Rejected concepts on a Customer Idea project are not reused by Synthis.
- Until full payment. No ownership, licence or right to use any Deliverable passes to the Customer until Synthis has been paid in full. If payment is not made, the Customer may not use, copy, manufacture from or distribute any Deliverable without Synthis's written permission.
- Physical parts. Title to printed parts and prototypes passes to the Customer on delivery and full payment. Owning a physical part does not give rights to copy or reproduce its design; those rights follow the rules above.
- What Synthis always keeps. Synthis keeps ownership of its pre-existing tools, templates, scripts, libraries, workflows and know-how, and general techniques learned on the job. Where any of these are built into a Deliverable, the Customer receives a perpetual, non-exclusive licence to use them as part of that Deliverable.
- Portfolio use. Synthis will not show a Customer's project publicly without the Customer's written permission.
5. Part replication, intellectual property and intended use
When the Customer supplies a part, sample, drawing, model or file for scanning, scan-to-CAD modeling, replication, reproduction or modification, Synthis performs that work as contract labor at the Customer's direction. The Customer, not Synthis, decides what is copied and why.
Customer warranties. By submitting a part or file, the Customer confirms that the following are true, and these confirmations apply whether or not the Customer knew of any third-party rights:
- It owns the part or design, or holds the rights or licence needed to have it scanned, modelled, copied, modified or manufactured.
- The work and the Customer's intended use will not infringe any patent, design patent, copyright, trademark, trade dress or trade secret, or breach any contract, licence, warranty term or end-user agreement the Customer is bound by.
- The part is not subject to export controls (ITAR/EAR), firearm regulations, or aerospace, medical or other certification rules limiting reproduction, unless the Customer has told Synthis in writing and holds the required approvals.
- The part, file or data was lawfully obtained, and no non-disclosure agreement, licence, purchase or supply contract, or end-user agreement prohibits reverse engineering, replicating, copying or modifying it.
- On request, the Customer will tell Synthis where the part came from and provide any licence, authorization or proof of rights it holds.
Declared intended use. Each Order for replication or reproduction work must state the intended use (for example: replacement of an obsolete or unavailable part for the Customer's own equipment, maintenance and repair, internal prototyping, or a new design the Customer owns). Deliverables are licensed for that stated use only. Any different use, including resale, distribution or production for third parties, is at the Customer's sole risk and responsibility.
Patent clearance is the Customer's responsibility. Copying or replicating a part, even from a part the Customer owns, is not a defense to patent infringement. Synthis does not perform patent, trademark or freedom-to-operate searches. Before producing, selling or distributing parts made from Deliverables, the Customer is responsible for confirming that doing so will not infringe any patent or other right.
Third-party marks and copyrighted content. Synthis will not reproduce third-party logos, trademarks, brand names, serial or part-number markings, or copyrighted artwork or text unless the Customer shows it has the right to use them. Synthis does not knowingly copy third-party CAD files, drawings or software.
Excluded work. Synthis does not scan, model, print or modify firearm frames, receivers or other parts regulated as firearms or ammunition. Synthis does not accept work on defense articles or ITAR-controlled technical data unless it has agreed in writing and holds any required registration.
Right to refuse. Synthis does not investigate ownership and relies on the Customer's warranties, but may decline, pause or stop any project, and withhold Deliverables, if it reasonably believes the work or intended use would infringe someone's rights or break the law. Fees for work completed remain payable.
Responsibility for infringement. The Customer is solely responsible for any infringement claim arising from Customer-supplied parts, data or directions, or from its use of Deliverables, and indemnifies Synthis under Section 12.
Rights acknowledgment. Before any scanning or replication work starts, the Customer must accept a rights acknowledgment on the quote, order or intake form, confirming the warranties above and the intended use. Synthis keeps a dated record of that acceptance. Accepting the quote or issuing a PO for such work counts as giving this acknowledgment.
If an infringement claim or notice arises. If Synthis receives a claim, demand, cease-and-desist letter or other notice that a project infringes someone's rights, or reasonably suspects it does:
- Synthis may immediately stop work, and hold, quarantine or delete the related files and data, without liability to the Customer.
- Synthis will notify the Customer, who must promptly stop using, manufacturing from and distributing the affected Deliverables, and return or destroy copies if Synthis requests.
- The Customer must cooperate with Synthis, provide any licences or proof of rights it has, and pay Synthis's reasonable defense costs and legal fees as they are incurred.
- Synthis may choose its own counsel and will not settle a claim in the Customer's name without the Customer's consent. The Customer may not settle a claim in a way that admits fault by Synthis without Synthis's written consent.
- Fees for work completed before the claim remain payable, and no refund is due because a project was stopped under this section.
6. Customer data, Final Deliverables and approval
- What the Customer supplies. Each project request must include complete parametric dimensioning, all known design criteria, and the basic dimensions and geometric dimensioning and tolerancing (GD&T) needed to reasonably produce a parametric 3D model and conformance 2D drawing. Synthis relies on that data and is not responsible for errors in it.
- Working files are not final. Models, drawings and scan data supplied before approval are provided for the Customer's convenience. They are not "instruments of service" and may not be relied on for manufacturing until designated Final Deliverables and, where the law requires, sealed by a licensed professional.
- Becoming a Final Deliverable. A Deliverable becomes a "Final Deliverable" only when the Customer signs and dates the "Checked By" and "Approved By" fields in the conformance drawing's approval block. Email confirmation from the Customer of those fields, with the revision status and date, is also accepted.
- Reliance after approval. Once designated Final, the Customer may reasonably rely on a Deliverable for the intended use stated in its Order (see Section 5).
- Responsibility after approval. The Customer must thoroughly review and approve Final Deliverables before any fabrication. Synthis is not liable for errors or omissions after approval, except errors caused by its professional negligence or defects not reasonably discoverable on review, which Synthis will correct.
- Your input and revisions. Schedules depend on the Customer supplying parts, data and feedback on time. Each design project includes [2] rounds of revisions within scope; more are billed at [$___/hr]. A revised Final Deliverable needs a new approval.
7. Scanning, scan-to-CAD modeling and printing: no dimensional guarantee
- No tolerances asserted. Synthis does not state, warrant or guarantee any tolerance, accuracy or dimensional conformity for scans, models, drawings or printed parts, including through accuracy or resolution figures in marketing, quotes or equipment specifications. Any tolerance or GD&T on a drawing is the Customer's specification, supplied and approved by the Customer (see Section 6).
- How scan data is produced. Our 3D scanning uses aligned point-cloud data to generate optimized manifold meshes, which are then converted into solid CAD bodies. Scan data gives dense surface representation, but triangulation anomalies, surface noise and alignment variation can occur, and results depend on the part's size, finish, colour, reflectivity, transparency and condition.
- As-found geometry. Scan-derived models reflect the part as it exists, including wear, distortion and damage, unless the Customer supplies design intent and dimensions in writing.
- Customer validation required. All scan-derived and replicated models and printed parts must be validated by the Customer against physical CMM (coordinate measuring machine) data or calibrated micrometer and gauge methods before use in manufacturing, assembly, tooling or production.
- Materials and intended use. Material recommendations are guidance based on the information the Customer gives. The Customer is responsible for confirming a part and material are suitable for its loads, temperatures, chemicals and environment.
- Not for critical use without validation. Unless agreed in writing, our parts and designs are not certified or tested for safety-critical, life-support, medical, aerospace, automotive-safety or structural use.
- Prototypes. Prototypes are for evaluation only and may not represent production fit, finish or performance.
8. Shipping, pickup and your parts in our care
- Sending us parts. You ship parts to us at your cost and risk. Pack them securely and include contact details and a reference number.
- Care of your parts. We handle Customer parts with reasonable care. Some scanning requires a temporary removable coating or markers, which we clean off as far as practical. Our liability for loss or damage to a part in our care is limited to [its documented replacement value / $___], and we recommend you insure valuable items.
- Unclaimed parts. If parts are not collected or return shipping is not paid within [60] days of project completion, we may dispose of them after written notice.
- Delivery. Delivery dates are estimates. Risk of loss passes to you when goods are handed to the carrier or collected. Report shipping damage to us and the carrier within [3] days of receipt.
- Local pickup. Pickup in Martinsburg, WV is available by appointment.
9. Termination, cancellations, refunds and rework
- Termination. Either party may terminate a project with [14] days' written notice. The Customer pays for all services rendered and materials bought up to the termination date; deposits are handled as set out in Section 3. Synthis will reasonably cooperate in transferring completed or in-progress work once paid. In-progress work is not a Final Deliverable and is used at the Customer's risk.
- Custom work. Because every design and printed part is made to order, completed work cannot be returned or refunded.
- Our errors. If a Deliverable does not meet the agreed specification because of our error, and you tell us in writing within [30] days of delivery and before approval as a Final Deliverable, we will correct, re-model or reprint it at no charge. If we cannot, we will refund the price paid for the affected item. This is your sole remedy for non-conforming work.
- Appointments. Please give at least [24] hours' notice to cancel or reschedule a booked consultation or scan session. Appointment deposits are not refunded if an appointment is cancelled or missed. See Section 3.
10. Confidentiality
We keep your Customer Materials, designs and business information confidential and use them only for your project. We share them only with staff and subcontractors who need them for the work and are bound by similar confidentiality duties, or when required by law.
This does not cover information that is public, was already known to us, or is independently developed. On request we will sign a mutual non-disclosure agreement before you share sensitive information; if signed, it controls over this section.
We keep project files for [12 months] after completion so we can support revisions and reorders, then may delete them. Ask us if you need longer retention or earlier deletion.
11. Standard of care, warranty disclaimer and limitation of liability
Standard of care. Synthis performs its services with the level of care and skill ordinarily exercised by professionals performing similar services under similar circumstances, using the information the Customer provides. BEYOND THAT STANDARD AND THE REMEDY IN SECTION 9, ALL SERVICES, DELIVERABLES AND PARTS ARE PROVIDED "AS IS," AND SYNTHIS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND DIMENSIONAL ACCURACY, TO THE EXTENT THE LAW ALLOWS.
TO THE FULLEST EXTENT PERMITTED BY WEST VIRGINIA LAW, AND EXCEPT FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT:
- Liability cap. Synthis's total liability for all claims, losses or damages arising from a project or these Terms will not exceed the total compensation Synthis received for that project.
- No consequential damages. Synthis is not liable for indirect, special, incidental, consequential or punitive damages, including lost profits, lost production, downtime, fabrication or construction delays, scrap, recall or tooling costs.
- Customer data. Synthis is not liable for errors resulting from inaccurate or incomplete dimensions, variables or data supplied by the Customer or third parties, or for problems caused by misuse, improper installation, or use beyond the declared intended use.
Neither party is liable for delays caused by events beyond its reasonable control, such as power or equipment failures, supplier shortages, carrier delays, severe weather or government action.
Consumer purchases. If an individual buys primarily for personal, family or household use, the warranty disclaimers, remedy limits and liability limits in these Terms apply only to the extent West Virginia consumer protection law allows. Nothing in these Terms limits rights a consumer cannot waive by law. The jury waiver and one-year time limit in Section 14 do not apply to consumer purchases.
12. Indemnification and no personal liability
Customer indemnity. Whether or not the Customer knew of any third-party rights, the Customer will indemnify, defend and hold Synthis harmless from any claims, suits, losses and costs (including reasonable attorney fees) arising from:
- any claim that Customer-supplied parts, data or directions, or work Synthis performed at the Customer's direction (including scanning and part replication), infringe another party's patent, copyright, trademark, trade dress or trade secret;
- the Customer's use, modification, manufacture, sale or unauthorized distribution of the CAD files, scan data, drawings or parts, including any use beyond the declared intended use;
- any claim of bodily injury, death or property damage, or any product liability claim, involving a part, design or Deliverable made to the Customer's specifications, data, approval or intended use, including claims alleged to arise in whole or in part from Synthis's ordinary negligence, but not claims caused by Synthis's gross negligence or willful misconduct; or
- inaccurate Customer warranties or a breach of these Terms or the law.
Synthis indemnity. Synthis will indemnify and hold the Customer harmless from claims arising from Synthis's gross negligence or willful misconduct in performing the services.
No personal liability. The Customer agrees that any claim may be brought only against Synthis CAD LLC. No individual member, manager, officer or employee has personal liability for any obligation under these Terms or any Order.
13. Website use, online shop and appointments
- Site content. Text, graphics, logos (including the SYNTHIS S marks), fonts and other content on the Sites belong to Synthis or its licensors. You may view and print pages for your own use but may not copy or reuse them commercially without permission.
- Accounts. If you create an account, keep your login secure and your details accurate. You are responsible for activity under your account.
- Acceptable use. Do not misuse the Sites: no unlawful use, attempts to gain unauthorised access, malware, scraping, or uploading files you have no right to share.
- Uploads. Files you upload through the Sites are treated as Customer Materials under Sections 4 and 10.
- Shop orders. An online order is an offer to buy. We may decline or cancel any order, for example for pricing errors or work outside our capability, and will refund anything paid.
- Appointments. Booked consultations are free unless a deposit is shown at booking. Appointment deposits are covered in Section 3. Advice given in a consultation is general guidance, not a binding quote.
- Privacy. Our Privacy Policy explains how we collect and use personal information.
- Accuracy. We try to keep site information current but do not guarantee it is complete or error-free. Any accuracy, resolution or capability figures on the Sites, in marketing, in quotes or in equipment specifications describe typical performance, not a guarantee for any project; Section 7 controls. Links to other sites are for convenience only.
14. Governing law, general terms and contact
- Governing law. These Terms are governed by the laws of the State of West Virginia, without regard to conflict-of-law rules.
- Disputes. We will first try to resolve any dispute informally by talking it through. If that fails within [30] days, any claim arising from these Terms or an Order shall be brought exclusively in the state or federal courts for [Berkeley County], West Virginia, and both parties consent to those courts.
- Time limit for claims. Except for consumer purchases and claims for amounts owed to Synthis, any claim must be brought within one (1) year after it accrues.
- JURY WAIVER. TO THE EXTENT THE LAW ALLOWS, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS OR AN ORDER.
- Independent contractor. We work as an independent contractor. We may use qualified subcontractors and remain responsible for their work.
- Entire agreement. These Terms, plus any Order or NDA, are the whole agreement for the services. If any part is unenforceable, the rest still applies. Not enforcing a term is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms without our written consent.
- Changes. We may update these Terms by posting a new version on the Sites with a new effective date. Changes do not affect Orders already accepted.
